Terms of Service

• By creating an account, purchasing Golden Pass, or using HKFinancePrep, you agree to these Terms. If you do not agree, you must not use the service.
• You must be at least 18 years old, or otherwise have legal capacity and any required parent or guardian consent to use the service and enter into these Terms.
• You are responsible for ensuring that your use of the service is lawful in your location.

HKFinancePrep is an independent MCQ practice platform for candidates preparing for finance, securities, and other professional licensing examinations. The exams covered are shown in the app and may change and expand over time. The service provides practice questions, explanations, translations, timed mock exams, saved-question tools (bookmarks), drill modes, and performance statistics.

HKFinancePrep is not affiliated with, endorsed by, sponsored by, approved by, or connected to the Hong Kong Securities and Investment Institute (HKSI), the Securities and Futures Commission (SFC), Hong Kong Exchanges and Clearing Limited (HKEX), or any official examination body. HKSI, SFC, HKEX, exam names, paper names, and other third-party names or marks belong to their respective owners and are used only to identify the exam or subject matter.

The service is provided for private study, revision, and exam-practice purposes only. It is not legal, financial, investment, regulatory, compliance, employment, tax, accounting, or other professional advice. It must not be relied upon for real-world transactions, regulatory filings, client advice, compliance decisions, investment decisions, employment decisions, licensing decisions, or any other professional or commercial purpose. No solicitor-client, adviser-client, fiduciary, professional, or regulatory relationship is created.

• Questions, answers, explanations, translations, source references, difficulty tags, projected scores, mock-exam results, chapter weightings, and performance statistics may contain errors, omissions, outdated information, mistranslations, or interpretations that differ from official materials or examiners.
• Laws, rules, regulations, syllabuses, exam formats, pass marks, and official guidance can change without notice.
• You are responsible for checking the current official examination-body, regulatory, and legislative materials for your exam (for example HKSI, SFC, and HKEX materials for Hong Kong securities examinations) before relying on any subject matter.
• We do not guarantee that the service is complete, accurate, current, error-free, suitable for your needs, or aligned with any actual examination.

We do not guarantee that use of HKFinancePrep will result in passing any examination. Practice questions may not reflect the exact content, difficulty, wording, scoring, syllabus, or format of any actual examination. Your preparation, decisions, exam registration, exam performance, and results are your sole responsibility.

• You must provide accurate registration information and keep your account information current.
• You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity under your account.
• You must notify us promptly if you suspect unauthorized access to your account.
• We may suspend or terminate accounts where we reasonably suspect misuse, unlawful activity, payment abuse, access-control circumvention, scraping, excessive automated use, or breach of these Terms.

• Do not share, sell, rent, transfer, or allow others to use your account.
• Do not scrape, crawl, bulk-download, copy, reproduce, publish, resell, redistribute, frame, mirror, or commercially exploit questions, answers, explanations, translations, data, or other service content.
• Do not use bots, scripts, automated tools, reverse engineering, credential sharing, rate-limit bypasses, offline-cache extraction, or other methods to harvest content or circumvent access limits.
• Do not interfere with the service, security features, payment flows, authentication, tier restrictions, question budgets, or third-party providers.
• Do not use the service for unlawful, infringing, misleading, abusive, or competitive database-building purposes.

• HKFinancePrep and its licensors own or reserve all rights in the service, software, design, branding, databases, compilations, explanations, practice content, translations, and related materials, except for third-party names and materials owned by their respective owners.
• Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to use the service for your own private exam study. No rights are granted except as expressly stated. You may not copy, train models on, adapt, translate, publish, sell, sublicense, or create a competing question bank or study product from service content.
• If you send us feedback, error reports, suggestions, or corrections, you grant us a perpetual, worldwide, royalty-free, irrevocable right to use, reproduce, and incorporate them in the service without restriction, attribution, confidentiality obligation, or compensation.

Content or Rights Issues: If you believe any content in the service infringes your intellectual property or other rights, please submit a formal report to info@hkfinanceprep.com with the subject line “Content/Rights Issue” containing specific details of the item and your ownership claim.

• Golden Pass is a one-time, time-limited purchase in HKD. It is not a subscription and does not auto-renew.
• Current pass durations and prices are shown in the app and at checkout. We may change prices, features, plan names, limits, and availability prospectively at any time.
• Web checkout payments are processed by Stripe. Card details are handled by Stripe and are not stored by HKFinancePrep.
• If a purchase is made through an app store or another platform, that platform’s payment, tax, refund, and billing rules may also apply and may override parts of this section where required.
• Access normally activates after successful payment confirmation and expires automatically at the end of the purchased period.

• Except where required by applicable law, payment-network rules, app-store rules, or these Terms, all payments are final once access is granted.
• If Golden Pass access does not activate after a completed payment, email us with your receipt and account email. Our remedy may include activation, restoration of access, extension, credit, or refund, at our reasonable discretion and subject to provider rules.
• We may refuse refunds or credits for account sharing, scraping, abuse, breach of these Terms, buyer’s remorse, failure to sit an exam, exam failure, or circumstances outside our reasonable control, except where law or platform rules require otherwise.
• Nothing in these Terms affects statutory rights that cannot be excluded.

• Eligible Boost or Sprint holders may be offered an upgrade to a longer pass while the pass is active or within 30 days after expiry. The app calculates eligible upgrade pricing from your current account metadata; the price shown at checkout is the price payable.
• Remaining days or upgrade credits have no cash value, are not transferable, and may be refused or reversed for suspected abuse, error, refund, chargeback, or breach of these Terms.
• Mastery Review Requests:Paid Mastery passes may include eligibility to submit a “Request Mastery review” if you do not pass your official examination. This option is strictly a manual review mechanism to prevent abuse and does not imply an automatic entitlement or contract renewal.
  
  Unless explicitly agreed otherwise in writing, any approved extension is subject to:
  • A strict application window (e.g., within 30 days following your official exam date).
  • The provision of verifiable proof parameters (including your official exam registration and official results sheet detailing the attempt date).
  • A limit of one renewal review per person/account.
  
  This offer possesses no cash alternative, is not a refund, and the granted renewal duration remains at our sole operational discretion.
• Promotions, coupons, trials, goodwill credits, and renewal offers may be changed, withdrawn, limited, or refused where allowed by law.

Our Privacy Policy and Personal Information Collection Statement explain how we collect, use, transfer, retain, and delete personal data. Account deletion removes app account data that HKFinancePrep controls from active app systems (including quiz history, saved bookmarks, and served-question records), subject to legal, payment, fraud-prevention, accounting, tax, security, backup, support, dispute, and third-party provider retention requirements. Local device caches may remain until you clear browser/app storage or reinstall the app.

The service depends on third-party providers, including Clerk for authentication, Turso for database hosting, Stripe for payment processing, Vercel or similar hosting providers, browser/app platforms, and app stores where applicable. We are not responsible for third-party outages, acts, omissions, terms, policies, payment decisions, identity checks, chargebacks, data-retention obligations, or platform enforcement decisions, except to the extent required by law.

• The service is provided on an “as is” and “as available” basis.
• We do not guarantee uninterrupted, secure, error-free, permanent, or timely availability.
• We may modify, suspend, limit, replace, remove, discontinue, or restrict features, plans, content, languages, question pools, access limits, pricing, or the service as a whole.
• Outages, maintenance, provider failures, app-store review, security incidents, legal concerns, and operational issues may affect access, including paid access.

To the maximum extent permitted by law, HKFinancePrep disclaims all warranties, representations, guarantees, and conditions, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, currency, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted use, security, and error-free operation.

• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.
• To the maximum extent permitted by Hong Kong law, we are not liable for indirect, incidental, special, consequential, exemplary, punitive, or economic loss, including exam failure, lost earnings, lost profits, lost opportunity, business interruption, reputational harm, loss of data, loss of goodwill, or loss arising from reliance on service content.
• To the maximum extent permitted by law, our total aggregate liability for all claims arising from or relating to the service or these Terms is limited to the amount you paid HKFinancePrep in the 12 months before the event giving rise to the claim, or HKD 500, whichever is greater.

To the maximum extent permitted by law, you agree to indemnify and hold [Insert Legal Entity Name], its contractors, service providers, and affiliates harmless from claims, losses, damages, liabilities, costs, and expenses arising from your breach of these Terms, misuse of the service, unlawful conduct, account sharing, content extraction, infringement, circumvention of access controls, or violation of third-party rights.

We may suspend, restrict, or terminate your access at any time if we reasonably believe you breached these Terms, created risk for the service or other users, violated law, abused payments or promotions, infringed rights, or attempted to extract or misuse content. Termination does not affect rights or obligations that by their nature should survive, including payment, IP, disclaimers, liability, indemnity, and dispute provisions.

We may update these Terms from time to time. Material changes will be posted in the app or on the website. Continued use after the effective date of revised Terms constitutes acceptance, except where law requires a different process.

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Subject to any rights that cannot be excluded by law, you and HKFinancePrep submit to the exclusive jurisdiction of the Hong Kong courts for disputes arising from or relating to these Terms or the service.

• If any part of these Terms is invalid or unenforceable, the remaining parts remain in effect to the maximum extent permitted by law.
• Failure to enforce a provision is not a waiver.
• You may not assign or transfer your account or rights under these Terms without our consent. We may assign or transfer our rights and obligations as part of operating, restructuring, or transferring the service.
• We are not responsible for delay or failure caused by events beyond our reasonable control.
• These Terms, together with the Privacy Policy, PICS, and any checkout terms shown to you, form the agreement between you and HKFinancePrep for the service.
• These Terms and our other legal notices are written in English. Any translation is provided for convenience only; if there is any conflict, the English version prevails.

If you obtain the HKFinancePrep app through the Apple App Store or Google Play, this document (together with the applicable store’s own terms) is the End User Licence Agreement (“EULA”) between you and HKFinancePrep for use of the app. It does not replace or limit Sections 1–22 above, which continue to apply in full.

Apple App Store — required minimum terms.The following terms apply specifically to the iOS app obtained through the Apple App Store, and are included to satisfy Apple’s Licensed Application End User Licence Agreement requirements:

• Acknowledgement: This EULA is between you and HKFinancePrep only, not Apple. Apple is not responsible for the app or its content and has no obligation to furnish any maintenance or support services for it.
• Scope of Licence: You are granted a limited, non-transferable, non-exclusive licence to use the app on any Apple-branded device that you own or control, as permitted by the Usage Rules in the App Store Terms of Service.
• Maintenance and Support: HKFinancePrep, not Apple, is solely responsible for providing any maintenance and support for the app, to the extent required under applicable law.
• Warranty: HKFinancePrep, not Apple, is solely responsible for any product warranties. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any) to you; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
• Product Claims: HKFinancePrep, not Apple, is responsible for addressing any claims by you or a third party relating to the app, including product-liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar legislation.
• Intellectual Property: In the event of a third-party claim that the app, or your possession and use of it, infringes that third party’s intellectual property rights, HKFinancePrep, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of any such claim.
• Legal Compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and are not listed on any U.S. Government list of prohibited or restricted parties.
• Developer Contact: Questions, complaints, or claims regarding the app should be directed to HKFinancePrep at info@hkfinanceprep.com, not Apple.
• Third-Party Terms: You must comply with any applicable third-party agreements (for example, your mobile-device or data-service agreement) when using the app.
• Third-Party Beneficiary: You acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

Google Play — additional terms.If you obtain the Android app through Google Play, the Google Play Terms of Service also apply between you and Google. In-app purchases made through Google Play are additionally subject to Google Play’s billing, tax, and refund rules.
